Much of the effects causing the ecological crisis are not intentionally caused. Much of the plastic waste, emissions, debiodiversification is being caused as an externality of a machine which has been made to pay shareholders and wages; a traditional corporation. With the advent of Environmental, Social, and Governance (ESG), it is hoped that these issues will be reduced. However, as we have seen with many corporate entities even though they have robust ESG risk management strategies their fiduciary duty to make a profit wins out. This dynamic essentially pits easily obtainable negative externality generating profit against the creation and maintenance of positive externalities. This inevitably leads to greenwashing.

We propose to create a new prototype corporation which cannot greenwash by baking transparency into its core. We understand the complexity of the task, it is arguable that different forms of corporation already exist that could address this problem. However, they are often not suitable for the task for instance: Not For Profit (NFP) or Co-Op incorporation - often generate top-heavy, institutions which are not suitable for very lean competitive environments and often, through lack of transparency experience corruption issues like those at FIFA.

We believe by publishing an open-source incorporation statement on Github alongside incorporating a prototype called The Transparent Company with the Australian Securities & Investments Commission we can work towards honing a prototype corporation as a template that anyone can use to do the same. A key part of the system is the technology which utilises a type of Read Only Memory (ROM) to ensure that once the business is launched certain tenets of operation are baked into its core. This is in the hope that issues like Google's change in their code of conduct to remove the term Don't Be Evil cannot occur.
